Mahindra to Transfer Truck & Bus Business to SML Mahindra for ₹525 Crore

Mahindra & Mahindra Ltd (M&M) has approved the transfer of its Truck and Bus Division (MTBD) to listed subsidiary SML Mahindra Ltd for ₹525 crore, in a move aimed at bringing the group’s commercial vehicle operations under one entity. The transaction will be executed on a slump-sale basis and has received approval from the boards of both companies. It is expected to be completed during FY2027, subject to regulatory clearances, signing of the Business Transfer Agreement (BTA) and other customary conditions. The BTA is proposed to be signed by August 7, 2026, with the transaction targeted for completion by January 31, 2027, or another mutually agreed date. What Will Be Transferred?

The deal covers the Truck and Bus Division as a going concern, including its employees, assets, intellectual property, licences, permits, insurance policies, contracts, rights and liabilities. The ₹525-crore consideration, which will be subject to working capital adjustments, has been determined based on a valuation report from GT Valuation Advisors Pvt Ltd.


MTBD’s Financial Contribution

Mahindra’s Truck and Bus Division recorded ₹2,989 crore in total income during FY2025-26, contributing around 2.02% of M&M’s total income from operations. As of March 31, 2026, M&M’s investment in the business stood at approximately ₹481 crore, equivalent to about 0.65% of its total net worth.


Why Is Mahindra Consolidating the Business?

The restructuring follows M&M’s acquisition of a 58.97% stake in SML Mahindra, formerly SML Isuzu Ltd, from Sumitomo Corporation and Isuzu Motors Ltd in August 2025, followed by a mandatory open offer.

By transferring MTBD to SML Mahindra, the group plans to create a single listed commercial vehicle platform covering light, intermediate and heavy commercial vehicles, along with buses in the above-3.5-tonne segment.

Mahindra Group CEO and Managing Director Anish Shah said the move will simplify the group’s commercial vehicle structure while creating a focused entity positioned for growth and leadership in the sector.

Rajesh Jejurikar, Executive Director and CEO of Mahindra’s Auto and Farm Sector, said the combination of SML and Mahindra Truck & Bus could create synergies across operations, technology and customer-facing functions, while retaining the identity and market positioning of both brands.

SML Mahindra Executive Chairman Vinod Sahay called the transaction a transformative move that will give the company greater scale, wider market coverage and a broader product portfolio.

What It Means for the Commercial Vehicle Business

The consolidation is expected to strengthen Mahindra Group’s position in the commercial vehicle market by combining its truck and bus operations under one listed company. The companies expect the unified business to benefit from greater operational efficiency, wider customer reach, stronger product offerings and improved competitiveness as India’s commercial vehicle industry continues to consolidate.
